Terms of Service

These Terms of Service (“Terms”) govern your access to and use of VidVop (the “Service”), operated by Kwiqflick Ltd, a company registered in England and Wales (“VidVop”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using VidVop on behalf of a business, you confirm that you are authorised to bind that business to these Terms.

1. The Service

VidVop is an AI agent platform for small businesses. It lets you configure AI agents — described in plain English — that handle communications and workflows on your behalf, such as triaging email, managing calendar events, updating spreadsheets, and sending messages across connected channels. The Service also includes a personal assistant available on desktop and supported messaging channels.

The Service depends on third-party platforms you choose to connect (for example Gmail, Microsoft Outlook, Google or Outlook Calendar, and messaging providers). We are not responsible for those third-party services or for changes they make to their own terms, availability, or APIs.

2. Eligibility and accounts

VidVop is a business tool intended for users aged 18 or over. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly at hello@vidvop.com if you suspect unauthorised use of your account.

3. Your content and connected accounts

You retain ownership of the data, communications, and configurations you provide to or process through the Service (“Your Content”). You grant us a limited licence to access, store, and process Your Content solely to operate and provide the Service to you, as described in our Privacy Policy.

You are responsible for the instructions you give your agents and for the communications they send on your behalf. You must ensure that you have the rights and any necessary consents to connect the accounts you connect and to let VidVop process the data within them.

4. Acceptable use

You agree not to use the Service to:

  • break any applicable law or regulation, or infringe anyone's rights;
  • send spam, unlawful, deceptive, harassing, or abusive communications;
  • transmit malware, attempt to gain unauthorised access to any system, or interfere with the integrity or performance of the Service;
  • reverse-engineer, resell, or attempt to extract the underlying models or source code of the Service except to the extent this restriction is prohibited by law;
  • use the Service in a way that places an unreasonable load on our infrastructure or circumvents usage limits or credit metering.

You remain responsible for ensuring that any outbound communications your agents send comply with the rules of the relevant channel (including email and messaging provider policies) and with applicable marketing and data-protection law.

5. Plans, credits, and billing

Paid plans and any optional add-ons are billed through our payment processor, Stripe. Where a plan starts with a one-off payment and no ongoing subscription, we will tell you before any recurring charge begins. Usage of agents and the assistant is measured in credits; the credit cost of each action and your plan's allowances are shown on the pricing page and in your account.

Fees are stated exclusive of taxes unless otherwise indicated, and you are responsible for any applicable taxes. Except where required by law, payments are non-refundable. We may change our prices or plan structure on reasonable notice; changes do not affect the period you have already paid for.

6. AI-generated output

The Service uses AI models to generate output such as draft messages, classifications, and extracted data. AI output can be inaccurate or incomplete. You are responsible for reviewing and configuring your agents' behaviour and for the accuracy and appropriateness of anything sent or actioned on your behalf. VidVop does not use your business communications to train AI models.

7. Intellectual property

The Service, including its software, design, and branding, is owned by Kwiqflick Ltd and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your business while your account is in good standing. We may use anonymised, aggregated usage data to operate and improve the Service.

8. Third-party services

The Service integrates with third-party platforms and processors (listed in our Privacy Policy). Your use of those platforms is governed by their own terms, and we are not liable for their acts, omissions, availability, or changes.

9. Availability and changes to the Service

We aim to keep the Service available and reliable, but we provide it on an “as is” and “as available” basis and do not guarantee uninterrupted or error-free operation. We may add, change, or remove features, and may carry out maintenance that temporarily limits availability.

10. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends and we will handle your data in accordance with our Privacy Policy (including deletion within the periods stated there).

11. Disclaimers and limitation of liability

To the fullest extent permitted by law, VidVop excludes all implied warranties and conditions. Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded — including liability for death or personal injury caused by negligence, or for fraud.

Subject to the above, we are not liable for loss of profits, loss of business, loss of data, or any indirect or consequential loss, and our total aggregate liability arising out of or in connection with the Service is limited to the greater of (a) the amount you paid us for the Service in the three months before the event giving rise to the claim, or (b) £100.

12. Indemnity

You agree to indemnify us against reasonable losses, damages, and costs arising from your misuse of the Service, your breach of these Terms, or communications or actions taken by your agents on your behalf in breach of applicable law or third-party rights.

13. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any appropriate jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the platform. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. The “last updated” date above shows when these Terms were last revised.
